1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and related services provided by Apprayz LLC ("Apprayz," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

The Services are intended for individuals 18 years of age or older. By using the Services, you represent that you are at least 18 and have the authority to enter into these Terms.

3. Account Registration and Security

You may be required to create an account. You agree to provide accurate information, maintain the confidentiality of your credentials, and accept responsibility for all activities that occur under your account. Apprayz may suspend or terminate accounts for suspected fraud, violations of these Terms, or unlawful activity.

4. Marketplace Role

Apprayz provides a technology platform that facilitates connections and transactions between independent buyers and sellers of collectibles. Apprayz is not a party to transactions between users, does not own or inspect items listed, and does not guarantee descriptions or authenticity unless expressly stated in writing. Payments are processed through third-party providers, including Stripe and Apple Pay. Sellers alone are responsible for their listings, legal compliance, and fulfillment.

5. Fees and Payments

Apprayz may charge service or transaction fees, disclosed at the point of use. By completing a transaction, you authorize Apprayz and its payment processors to charge your selected payment method for applicable amounts, including taxes and fees. Except as required by law or expressly stated in Apprayz policies, all payments are final. Chargebacks may result in account limitations or reversal of transactions.

6. AI Tools and Valuation Disclaimer

Apprayz uses artificial intelligence to analyze images and provide indicative valuations and insights. Outputs are advisory only, do not constitute appraisals or financial advice, and are not guarantees of market performance. You are solely responsible for decisions made using Apprayz data or recommendations.

7. User Content and License

You retain ownership of content you submit (e.g., photos, listings, descriptions, messages) ("User Content"). You grant Apprayz a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, display, reproduce, modify, and otherwise use User Content to operate, promote, and improve the Services. You represent that you have all necessary rights to your User Content and that it does not infringe third-party rights or violate law. You acknowledge that listings and related data may be cached, indexed, or archived.

8. Prohibited Conduct

You agree not to:

• Engage in fraud or illegal activity
• List counterfeit or restricted items
• Circumvent fees or payment flows
• Scrape, harvest, or reverse-engineer the Services
• Interfere with or disrupt networks
• Post content that is unlawful, defamatory, or infringing
• Use the Services to send spam
• Use any automated means without prior written consent

Violations may result in suspension, termination, or legal action.

9. Intellectual Property

All rights, title, and interest in and to the Services, including software, databases, designs, and trademarks (including the Apprayz name and logos and any proprietary valuation systems), are owned by Apprayz or its licensors. Except for the limited right to access the Services, no rights are granted to you.

10. Third-Party Services

The Services may integrate with third-party tools and platforms (e.g., Stripe, Apple Pay, Google Analytics, Meta). Your use of such features is subject to those providers' terms and privacy policies. Apprayz is not responsible for third-party acts, omissions, or outages.

11. Disputes Between Users

Apprayz may, but is not obligated to, assist with communications or dispute mediation between buyers and sellers. Any guidance is provided as a courtesy and does not make Apprayz a party to the transaction. Users remain responsible for resolving disputes and complying with applicable laws.

12. Termination

You may close your account at any time by contacting info@apprayz.com. Apprayz may suspend or terminate access for breach of these Terms, fraud, legal or regulatory reasons, or prolonged inactivity. Upon termination, your right to use the Services ceases, but provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, arbitration, and governing law) will survive.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Apprayz does not warrant that the Services will be uninterrupted, secure, or error-free, or that content will be accurate or reliable.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL APPRAYZ OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL APPRAYZ'S TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID TO APPRAYZ IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

15. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to them are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Subject to the Binding Arbitration provision below, and to the extent any judicial action is permitted, the exclusive venue and jurisdiction for any such action will be the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts.

16. Binding Arbitration and Class-Action Waiver

You and Apprayz agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Delaware, and hearings may be conducted remotely (by video) or in person as permitted by AAA rules.

YOU AND APPRAYZ EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

This clause does not preclude either party from seeking temporary injunctive relief in court to protect intellectual property or confidential information pending arbitration. You may opt out of this arbitration agreement by sending written notice to info@apprayz.com within thirty (30) days of creating your account.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email, in-app notice, or website posting before taking effect. Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
